THERE ARE 1/2 MILLION SCHOOL BUSES IN OPERATION IN THE U.S.

With the increase in school shootings and other incidents such as school bus accidents due to careless driving, School District Administrators are acknowledging it is their "duty of care" to ensure the safety of students, which is a legal responsibility. This extends to ensuring young students get off the school bus at the correct stop.

Datalink expects to sell 5,000 i50 MobiHUB School Bus and Student tracking systems in the first year, which amounts to only 0.01% of the school bus market in the USA.

THE GLOBAL MARKET

In addition to the domestic LMR markets, Datalink has been supporting the interntional markets and clients including the U.K. Ministry of Defense, the Australian, New Zeland and Philippine governments with solutions using Satellite and Cellular Networks. We also support the U.S. DOJ and Department of State with encrypted data applications.

Datalink is currently involved in responding to an RFP to provide a new GPS tracking system for all the International Red Cross Vehicles in operation around the world.

Datalink was created in 1997 by Clive Ross to develop wireless data processing and GPS tracking systems, Clive was joined a few years later by Tim Carter as Engineering Manager who continues to develop advanced wireless data solutions. Datalink initially worked with Rogers Mobitex Networks in Canada and Bell South Mobitex Networks in the States. Mobitex was replaced by CDPD, which was later replaced by 2G, followed 3G/4G/LTE and now 5G.  Today Datalink Software and Hardware works with the aforementioned cellular networks, plus LMR and mulitiple Satellite Data Networks.   DataGate, a multi-Network data platform continues to have no equal in the wireless data communications world.

Today Datalink is poised to launch major new developments and marketing expansion to continue to lead Globally.  You are invited to become an investment partner and enjoy the rewards.

                                THE SOLUTION

To statisfy the School Administrations requirements of fast GPS updates of typically 10 to 20 seconds, the GPS updates can be moved off the LMR Network and on to the newer M2M low cost Cellular services.

Datalink has partnered with Denmark based NEXTM2M who provide Global OPEN SIMS and M2M Data Cellular service with reseller costs as low as $1.50 per month for typical School Bus GPS tracking per month.

To incentivize Datalink's Reseller Network, all our Resellers have the option of entering into direct resale agreements with NEXTM2M which provides the Reseller with maximum profit margins.

THE COMPETITION
DataNET is designed to eliminate the problems encountered with other vendors’ products who typically offer a single network, vertical market solution.

At the onset, Datalink's team took a different approach to software wireless I.P. design, electing to develop a multi-network platform which would be compatible with a wide range of 3rd party hardware devices and wireless networks including satellite.

Datalink's team believes the early years of development has paid off with a software host I.P.platform which appears to have no direct competition.

Datalink's Management have been unable to identify any company that offers an integrated Software and Hardware GPS tracking solution over multiple and mixed networks.

OTHER MARKETS

The School Bus Market is only one segment of all the markets open to Datalink's Software and Hardware Developments. One major ongoing potential order is for the International Red Cross . Datalink's European partner of over ten years is IEC-Telecom based in Paris with offices around the Globe.

The ICRC (International Red Cross) based in Geneva, Switzerland has issued an RFP for replacment of GPS and Data processing hardware for their fleets of vehicles located in various countries. IEC Telecom and Datalink as a sub-contractor to IEC are short listed with a high probability of being awarded the contract based on the unique features of the i50 MobiHUB. More details can be provided on request.

OUR MANAGEMENT TEAM

DATALINK'S BOARD OF DIRECTORS
Most of our team have many years experience serving the LMR markets in many roles. This allows Datalink to take on and deliver a wide range of engineered solutions. We also develop bespoke solutions for LMR, Satellite and Cellular networks.

With the introduction of digital Land Mobile Radios, it became possible to transmit all types of data including AVL, text messages and job-dispatching over channels previously limited to analog voice traffic. Digital radios' voice/data capability has resulted in a global demand for a wide range of data applications.

The problem surfaces when too much data is sent over the radio channels as seen when monitoring School Buses with 10 second GPS updates, as requested by some school Districts. This is not possible over the typical LMR Networks. An alternative solution is needed.

There are 1/2 million School Buses transporting 25 million students every school day. Datalink's School Bus Track delivers a solution that can be a complete "stand-alone" or be the mobile end of a 3rd. party comprehensive student management system such as Edulog.

STRUCTURE AND PROJECTED EARNINGS
Datalink's founders are proposing to incorporate a new Class C Corporation in Nevada under the category of a "Close Corporation".  This limits the corporation to a maximum of 30 shareholders who must have some form of relationship with Datalink and its founders.

This structure fits with Datalink's expansion plans and allows the sale of shares in any State with an exemption from compliance with the Federal SEC and each States Security Regulations. These will NOT be publicly tradeable shares. You may only sell your shares to other shareholders, or back to the Company's treasury, unless a majority of the Shareholders elect to take the company public with an IPO at some time in the future.

There will be a total of 25 blocks of common shares offered for sale at a cost of $25,000 per block. The 25 blocks when sold will represent 40% of all issued shares. When completed this will raise $625,000 for the company's treasury which will fund the expansion as outlined in the projected financial statements. A copy of which will be provided on request.

The new company will have the exclusive global license to sell, further develop and manufacture all current software and hardware developed by Datalink and all future developments in any form based on the DataGate concept. I.P. Title to the DataGate concept I.P. and design elements is held by Clive Ross and Tim Carter.

PROJECTED EARNINGS

NOTE! The financials provided are a projected forecast. ALSO, the projections are very dynamic as new markets are opening almost weekly. Investment in this new Company does not guarantee any residual earnings. There may be no return on your investment. Also note these shares cannot be sold to the general public, only to other shareholders, or back to the treasury. The company's shareholders by majority may elect to consider an IPO in the future when annual net revenues exceed five million dollars.

The founding members believe with an existing reseller network and a growing market with little or no competition in the LMR field, the growth is only limited by the marketing and promotion of the products. Marketing and promotion will be agressive and well funded. Datalink will seek well established personnel to fill the management roles as the company expands.

Upon the launch of the new company, the existing Datalink Operations in the USA and overeas will be disolved and the current customer database and goodwill will be vended into the new corporation.
.
The projected net profit in the first year is $2.4 million. With a divident pay-out of $7,200 per share block.
.
While this appears to a very excessive claim, it is balanced by the fact that software sales have a very high gross profit margin around 90%. Datalink has been in business for over 20 years with an existing market and resellers. THIS IS NOT A "START-UP"
.
There is an existing pool of LMR Dealers across the U.S. with a significant segment looking for new solutions to market.  AVL and Data processing over LMR networks along with the new M2M and IoT services is a fast evolving global industry. Datalink believes it is a leader in this field.
.
The GPS tracking of Students and School Buses can also provide quick sales returns. With 1/2 million School Buses in operation, a sales target of only 0.01% of the market will result in sales of 5,000 i50 MobiHUB units in year one.
